Shadow Trading Expands Potential Insider Trading Liability in S.E.C. v. Panuwat

April 19, 2024

Insider trading generally refers to the trading of a company’s security based upon material non-public information (“MNPI”) about that company. But a recent litigation victory by the U.S. Securities and Exchange Commission (“SEC”) is premised on allegations of “shadow trading,” expanding insider trading to a misappropriation of confidential information about one company to trade in securities of a second company where there is a sufficient business connection between the two companies.

The Department of Justice Launches a Self-Reporting Pilot Program: Implications Remain Unclear for Individuals and Companies

April 17, 2024

On April 15, 2024, The Department of Justice (“DOJ”) Criminal Division announced a pilot program (“Pilot Program”) aimed at encouraging voluntary self-disclosures for individuals who are witnesses to or involved in corporate or financial wrongdoing. The program uses the prospect of discretionary grants of immunity and non-prosecution agreements (“NPAs”) offered in exchange for a person’s cooperation, in order to encourage potentially culpable witnesses to come forward and aid in investigations and prosecutions.

Insider Trading and Off-Channel Communications in the Age of Remote and Hybrid Work Environments

Though many, if not most, of the measures implemented to address the COVID pandemic have since been rolled back, the transition from fully in-person to remote and hybrid work environments appears to be here to stay. While these arrangements provide employees with additional convenience and flexibility, they also come with risks for companies that are subject to the recordkeeping provisions of federal securities laws and whose employees encounter material nonpublic information (“MNPI”) in the course of their work.
